General Conditions of Service

These general conditions govern the contractual relationship between FUNNELD LTD, with operating address at 82A James Carter Road, Mildenhall, IP28 7DE, United Kingdom, Companies House no. 14582937 (“Funneld”), and any natural or legal person (“Client”) who acquires or uses the services offered through DataSupplier.

1. Definitions

“Services” means the managed data sourcing, acquisition, transformation, anonymisation and delivery services provided through DataSupplier. “Underlying Data” means third-party data purchased, subscribed, licensed or otherwise acquired for the Client. “Quote” means a written, itemised proposal issued by Funneld.

2. Scope of services

Funneld locates appropriate data sources; purchases and licenses data where necessary; acquires data directly where appropriate; validates quality and suitability; converts and structures data; can anonymise, pseudonymise, aggregate or enrich data; can provide synthetic datasets; and delivers data in the format, cadence and interface agreed with the Client. The specific scope of each engagement is defined in the applicable Quote or order.

3. Quotes and no obligation

Quotes are provided with no obligation and are free of charge. A quote does not constitute a binding contract until accepted in writing by the Client and confirmed by Funneld. Quotes are valid for the period stated and are subject to documented source availability and project terms.

4. Commercial model

Charges comprise three separate components:

  • Underlying data cost, the cost of the third-party data purchase, subscription, licence or acquisition, passed through transparently.
  • Sourcing & acquisition commission, a low, transparent commission of 1.25% to 4.75% on the underlying third-party data purchase or licensing value, covering sourcing, supplier discovery and comparison, negotiation, acquisition, licensing coordination, supplier relationship management and supply orchestration. The applicable percentage depends on factors such as volume, rarity, sourcing difficulty, supplier complexity, exclusivity, geographic coverage, contractual complexity and delivery urgency.
  • Value-added services, processing, transformation, cleaning, normalisation, mapping, enrichment, anonymisation, pseudonymisation, aggregation, synthetic data generation, quality validation, API/MQTT delivery, real-time operations, secure environments, custom interfaces, integration, documentation, SLAs and managed support, scoped and priced separately.

5. Client obligations

The Client shall provide accurate requirements and ensure it has a lawful basis to receive and use the requested data for its intended purpose. The Client is responsible for its own compliance obligations in respect of data it receives.

6. Supplier confidentiality

Supplier identities remain confidential by default to protect commercial relationships and avoid competitive conflicts. The Client receives the licensing, provenance, contractual and compliance information required within the agreed project framework.

7. Licensing and provenance

Data is provided under the terms of the relevant third-party licences. The Client agrees to comply with applicable licence terms communicated as part of the engagement.

8. Data protection and compliance

The Services are designed to support GDPR and EU Data Act requirements, with security and governance practices aligned with NIS2 and ISO/IEC 27001 principles. Data protection roles and obligations are defined per project. Nothing in these conditions claims any certification or official compliance seal.

9. Intellectual property

All intellectual property in the DataSupplier platform, materials and methodologies remains with Funneld. Rights in Underlying Data remain with the relevant data owners and are licensed to the Client as agreed.

10. Service commitments

Funneld works to guarantee the agreed supply scope, quality criteria, delivery cadence and contractual commitments, subject to documented source availability and agreed project terms. Where production data requires further sourcing or preparation, synthetic or anonymised datasets may be provided to enable earlier development and testing.

11. Liability

To the extent permitted by law, Funneld’s aggregate liability arising out of an engagement is limited to the fees paid for the relevant Services. Funneld is not liable for indirect or consequential loss. Nothing limits liability that cannot be excluded by law.

12. Term and termination

Engagements run for the term set out in the applicable Quote or order. Either party may terminate for material breach not remedied within a reasonable period. Accrued rights and obligations survive termination.

13. Governing law

These conditions are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections.
